End User License Agreement

PLEASE READ THIS LICENCE AGREEMENT CAREFULLY BEFORE CONTINUING. BY INSTALLING OR USING THE SOFTWARE, YOU AGREE TO THE TERMS WHICH WILL BIND YOU.

This End User Licence Agreement (“EULA”) is a legal agreement between you, the Licensee (an individual or a legal entity), and [INSERT YOUR NAME] (operating under the name ContextLoom), an individual resident in Sweden (the Licensor).

This EULA covers the ContextLoom Appliance software and the associated electronic Documentation. This EULA grants a licence to use the Software and the Documentation only, strictly in accordance with the terms of this EULA. The Licensor does not sell or assign the Software or the Documentation to you, and the Licensor remains the owner of the Software at all times.


In this EULA, unless the context otherwise requires, the following expressions have the following meanings:

  • “Authorised User” means an individual authorised by you to use the Software within your organization.
  • “Documentation” means the user guides, installation manuals, and technical specifications provided by the Licensor.
  • “Licence Fee” means the fee paid by the Licensee for a Commercial Subscription or specific Enterprise Modules.
  • “Software” means the ContextLoom Appliance infrastructure software, including container images and bridge clients.
  • “Instance” means a single installation of the Software (a unique deployment node).
  • “Order Form” means the document or online process through which you purchase a Commercial Subscription.
  • “you”, “your” means the Licensee.

The Software is provided as a containerized appliance. It requires a compatible container runtime (Docker or Podman) and minimum hardware resources (vCPUs, Memory) as specified in the Documentation. Use on hardware exceeding the vCPU limits of your specific licence may result in performance throttling.

3.1 By downloading, installing, or using the Software, you indicate your acceptance of this EULA and the terms and conditions set out herein, which will become binding on you and your Authorised Users upon your acceptance.

3.2 If you do not accept the terms and conditions of this EULA, you must not install or use the Software or Documentation.

4. Ownership of the Software and Documentation

4.1 The Software and the Documentation and all intellectual property rights therein (including, but not limited to, copyright) throughout the world belong to the Licensor. This EULA does not grant to you any rights of ownership in the Software or the Documentation.

4.2 The Licensor retains ownership of any and all copies of the Software or the Documentation regardless of the form in which the copies may exist.

4.3 You acknowledge that while certain components of the Software may be accessible in human-readable form within the container image or deployment package, this does not grant you any right to modify, reproduce, or create derivative works. All such components remain the proprietary property of the Licensor.

Subject to your acceptance of this EULA and, where applicable, the payment of the relevant Licence Fee, the Licensor hereby grants to you a limited, revocable, non-exclusive, non-transferable licence to use the Software under one of the following tiers:

5.1 Community Edition (Free) If you are using the free version: a) You may install and use the Software for internal business purposes only. b) Usage is strictly limited to the built-in scale constraints (e.g., maximum 10 Context Bundles and 1 Connected Repository). c) No warranty or support is provided for this tier.

5.2 Commercial Subscription If you have executed a paid Order Form: a) You may install and use the Software on the number of Instances specified in your Order Form. b) You may use the Enterprise Modules (e.g., SSO, SIEM, Custom CA) as specified in your Order Form. c) The Software is provided “AS IS”. d) Technical support is provided on a “best effort” basis unless otherwise specified in a separate service level agreement.

5.3 Proof of Value (POV) / Evaluation If you are using an evaluation version: a) You may install and use the Software solely for the purpose of internal testing and evaluation. b) The licence is valid for a period of ninety (90) days from installation. c) Software is provided “AS IS” with no warranty.

6.1 You may not make copies of the Software except where such copying is necessary for backup, archival, or security purposes.

6.2 You may not translate, reverse-engineer, decompile, disassemble, modify, or create derivative works based on the Software (including any accessible scripts or configuration files) except as expressly permitted by law.

6.3 You may not modify, adapt, alter, or combine the Software with any other software in a manner that circumvents the license enforcement mechanisms.

6.4 You may not: a) Alter, delete, or otherwise obscure any notices of proprietary rights. b) Provide or make available the Software to any third party without prior written consent. c) Attempt to bypass the feature gating or bundle limits defined by your license type.

7.1 The Software and Documentation are licensed only to you. You may not rent, lease, sub-licence, sell, or otherwise dispose of the Software to any third party.

7.2 Assignment by Licensor: You acknowledge and agree that the Licensor may assign, transfer, or novate this Agreement and its rights and obligations hereunder to any third party (including a newly formed legal entity such as “ContextLoom AB”) at any time without your further consent. Usage of the Software after such assignment constitutes acceptance of the new Licensor.

You hereby undertake and agree that: 8.1 You will use the Software only in accordance with the terms of this EULA. 8.2 You will ensure that Authorised Users are notified of and comply with the terms of this EULA. 8.3 You will keep accurate records of the number and location of Software Instances in use.

9.1 The Software and Documentation are provided for internal business use.

9.2 The Licensor shall not be liable to you for loss of profits, loss of sales, loss of revenue, business interruption, or loss of data (including source code pointers).

9.3 Subject to sub-Clause 9.4, the Licensor’s maximum aggregate liability arising out of or in connection with this EULA shall be limited to a sum equal to 50% of the charges paid by you in the previous month. For Community and POV users, the Licensor’s liability is strictly limited to $0.

9.4 Nothing in this Agreement shall exclude or limit liability for death, personal injury, or fraud where such exclusion is prohibited by Swedish law.

10.1 This EULA sets out the full extent of the Licensor’s liabilities and obligations with respect to the Software and Documentation. Except as expressly set out in this EULA, the Licensor is bound by no other conditions, warranties, or representations, express or implied.

10.2 THE SOFTWARE IS PROVIDED “AS IS” AND WITH ALL FAULTS. To the fullest extent permitted by law, any warranties or representations which may be implied by statute or common law are hereby excluded.

10.3 The Licensor does not warrant that the Software will meet your requirements or that the operation of the Software will be uninterrupted or error-free. It is your responsibility to ensure the Software meets your requirements.

The Licensor reserves the right to amend the terms of this EULA at any time. You will be notified of such changes via the Software interface or email. Continued use of the Software constitutes acceptance of the changes.

12.1 This EULA is effective until terminated. 12.2 The Licensor may terminate this EULA immediately if you commit a material breach of its terms. 12.3 Upon termination: a) All rights granted to you shall discontinue. b) You must immediately stop using the Software and Documentation. c) You must uninstall and delete all copies of the Software in your possession.

13.1 The Licensor does not collect, process, or hold personal data from within the Software’s operational environment, except for business contact information required for licensing and account management.

13.2 The Licensee is solely and exclusively responsible for ensuring that its use of the Software—including the curation of Context Bundles and the transmission of data to AI agents—complies with all applicable data protection laws (including GDPR), internal corporate policies, and regulatory requirements. ContextLoom AB (or its successor) assumes no liability for the content or sensitivity of the information processed through the Software.

The Licensor will not be liable for any failure to perform, or delay in performance of, any of its obligations under this EULA that is caused by an event outside its reasonable control.

15.1 This EULA shall be governed by, and construed in accordance with, the laws of Sweden.

15.2 Any dispute arising out of or in connection with this EULA shall fall within the exclusive jurisdiction of the courts of Sweden.

16.1 The Software is subject to export control laws and regulations. You represent and warrant that you are not located in, under the control of, or a national or resident of any country to which the EU, USA, or UN has embargoed goods (including but not limited to Russia, Belarus, Iran, North Korea, and Syria).

16.2 You agree that you will not export, re-export, transfer, or make the Software available to any entity or person on the EU Consolidated List of Financial Sanctions or the US OFAC Specially Designated Nationals (SDN) List.

16.3 The Licensor reserves the right to immediately terminate the licence and block access to the Software without notice if any breach of this clause is suspected.
